Clear commercial terms for firms using Accountant OS to manage practice workflows, client data, compliance tools, and pre-paid software usage credits.
Description of Service
Accountant OS provides B2B practice management, client portal, and compliance infrastructure for Australian accounting and advisory firms.
We provide the software infrastructure. You remain solely responsible for the professional accounting, tax, and advisory services you provide to your clients.
By registering for an account or using the Service, you ("Customer," "Firm," or "you") agree to be bound by these Terms.
The Pre-paid Ecosystem Wallet
Premium integrations require a pre-funded Accountant OS Wallet so usage can be deducted as software credits inside the platform.
To utilize certain premium third-party integrations, such as AUSTRAC Identity Verification or Open Banking syncs, you must pre-fund your Accountant OS Wallet.
Legal Definition
Funds added to your wallet are legally classified as "Pre-paid Software Usage Credits" used exclusively to access features within the Accountant OS platform.
No Cash Value
Accountant OS is not a bank, escrow, or stored value facility. Credits hold no cash surrender value and cannot be exchanged for fiat currency.
Non-Refundable & Non-Transferable
All wallet top-ups are strictly non-refundable and cannot be transferred to another accounting firm or entity.
No Expiration
Pre-paid Software Usage Credits do not expire and roll over infinitely while your underlying platform subscription remains active.
Account Responsibilities & Data Control
Your firm controls client information and is responsible for consent, accuracy, and professional compliance.
Data Controller vs. Data Processor
Under applicable privacy laws, your Firm is the "Data Controller" of your clients' information. Accountant OS acts solely as the "Data Processor."
Client Consent
You represent and warrant that you have obtained all necessary consents from your end-clients to upload their personal, financial, and identity data into Accountant OS for processing.
Compliance
You are solely responsible for ensuring your use of Accountant OS complies with the Tax Practitioners Board (TPB), AUSTRAC, and the Privacy Act 1988 (Cth).
Subscriptions and Billing
Subscription access, overage fees, and renewal rules are governed by your selected plan and billing arrangement.
Payment
Platform access requires an active monthly or annual subscription. Payments are processed securely via our third-party payment gateway.
Overage Fees
If your Firm exceeds the active client limit of your subscribed tier, you agree to pay the per-unit overage fee, which may be deducted from your Pre-paid Wallet or added to your monthly invoice.
Auto-Renewal
Subscriptions automatically renew unless canceled prior to the next billing cycle.
Limitation of Liability
Accountant OS supplies software infrastructure, but final responsibility for professional accuracy and legal compliance rests with your firm.
To the maximum extent permitted by Australian law, Accountant OS shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption. We provide the software "as is."
We do not guarantee that the platform will prevent you from receiving ATO penalties, AUSTRAC fines, or compliance audits.
Termination and Data Export
You can cancel your month-to-month subscription and export firm data during the applicable post-termination window.
Cancellation
You may cancel your month-to-month subscription at any time without penalty.
Data Portability
Upon termination, you will have 30 days to export your firm's data, including clients, documents, and audit logs, in standard CSV/JSON formats.
